1. General Provisions
1.1. This public offer (the “Offer”) is an official proposal by BARYXUS CAPITAL RO S.R.L., a company registered in Romania (Trade Register No.: J2023019151402; Tax ID (CIF): 48932360; address: Ale Izvorul Oltului, Nr. 6, Bl. 29, Sc. B, Et. 2, Ap. 24, Sector 4, Bucharest) (the “Organizer”), to enter into a fee-based services agreement on the terms set out below.
1.2. Pursuant to the Romanian Civil Code and European Union regulations, this Offer is public. Its acceptance (ticket payment) constitutes the full and unconditional consent of the person accepting it (the “Buyer”) to all terms hereof.
1.3. The Offer is publicly available on the official conference website (https://www.tvoyaglubina.com) and remains in force until revoked by the Organizer.

2. Subject of the Agreement
2.1. The Organizer shall provide the Buyer with the service of participating in the online conference “Your Depth with Natasha Sedlmeier, 20.09.2025” (the “Conference”), and the Buyer shall pay for such service.
2.2. The Conference will be held online on 20 September 2025 from 10:00 to 18:00 (CET).
2.3. The ticket price includes access to the live online event and access to the event recording for three (3) months after the event date.

3. Payment Terms
3.1. The participation fee is stated on the Conference website.
3.2. Payment is made cashlessly via Stripe, Lava Top, or PayPal.
3.3. The payment date is deemed to be the date the funds are credited to the Organizer’s bank account or the date the transaction is confirmed by the payment service.

4. Rights and Obligations of the Parties
4.1. The Organizer shall:
– hold the Conference;
– provide the Buyer with access to the live stream and to the recording;
– send the Buyer the Conference materials (including any additional materials) if provided for by the program;
– ensure the protection of the Buyer’s personal data in accordance with the GDPR.
For the Organizer to fulfill its obligations, the Buyer must provide their full name, email address, phone number, and Telegram handle.
4.2. The Buyer shall:
– pay the participation fee in full;
– independently ensure access to the necessary technical means and the internet for participation;
– maintain confidentiality and not disclose any personal information of other participants/Buyers heard during exercises/practices/breakout-room work.
The Buyer confirms that they are mentally fit and assumes responsibility for their own condition and behavior. The Buyer is informed that psychological work during the Conference may elicit not only positive emotions but also discomfort, and accepts responsibility for such outcomes.
4.3. The Organizer is entitled to:
– amend this Agreement, service/product prices, and payment methods and timelines unilaterally by publishing the changes on the Organizer’s website (https://www.tvoyaglubina.com). All changes take effect immediately upon publication and are deemed communicated to the Buyer from the moment of such publication;
– send the Buyer informational and marketing messages via email and SMS regarding discounts, promotions, new events, and the Organizer’s products. The frequency of mailings is determined by the Organizer at its sole discretion.

5. Cancellation and Refund Policy
5.1. All tickets are non-refundable.
5.2. If the Buyer is unable to attend the live broadcast, they retain the right to view the recording within three (3) months from the Conference date.
5.3. Transferring access to third parties is prohibited without the Organizer’s prior written consent.

6. Force Majeure
6.1. The Parties are released from liability for partial or complete non-performance of their obligations under the Agreement if caused by force majeure circumstances (including natural disasters, failures of internet service providers, global technical disruptions, acts of war, etc.).

7. Personal Data Processing and Mailings
7.1. By paying for the ticket, the Buyer consents to the processing of their personal data in accordance with the Organizer’s Privacy Policy and the GDPR (Regulation (EU) 2016/679).
7.2. Personal data are processed for the following purposes:
– conclusion and performance of this Agreement;
– ensuring the Buyer’s participation in the Conference (including adding the Buyer to the Conference’s closed Telegram chat);
– sending Conference materials and related informational materials;
– sending information about the Organizer’s future events, including email and SMS messages (informational/marketing communications).
7.3. The Buyer may withdraw consent to marketing communications at any time by sending a request to the Organizer’s email (baryxuscapital@gmail.com).
7.4. Personal data received from the Buyer are stored by the Organizer for the period necessary to achieve the purposes specified in Clause 7.2 of this Offer, subject to the following:
– data necessary for performance of the Agreement and fulfillment of tax and accounting obligations (including payment information) are stored for five (5) years from the date of provision, unless a longer period is required by law;
– data used for sending marketing materials and invitations to future events are stored until the Buyer withdraws consent to such mailings.
Upon expiry of the respective periods, data shall be deleted or anonymized.

8. Governing Law and Dispute Resolution
8.1. This Agreement is governed by the laws of Romania.
8.2. Any disputes and disagreements shall be resolved through negotiations; failing which, they shall be submitted to the competent courts of Romania.

10. Acceptance of the Offer
10.1. Payment for the Conference ticket constitutes the Buyer’s full and unconditional acceptance of this Offer.
